1. Acceptance of Terms

By accessing or using BrightUp (operated by Upward Wealth, Inc., "we," "us," or "our"), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our platform.

These Terms constitute a legally binding agreement between you and Upward Wealth, Inc. We reserve the right to update these Terms at any time. Your continued use of BrightUp after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

BrightUp is a financial wellness platform that provides:

  • Personalized financial coaching and planning tools
  • Credit report access and monitoring (via Spinwheel)
  • Bank account connectivity and cash flow analysis (via Plaid)
  • Down payment assistance (DPA) program matching
  • Homeownership and mortgage readiness guidance
  • Access to Compassionate Capital programs and community resources
Important: BrightUp provides financial education and coaching tools. We are not a licensed lender, financial advisor, or credit counseling agency. Nothing on this platform constitutes financial, legal, or investment advice.

3. Eligibility

To use BrightUp, you must:

  • Be at least 18 years of age
  • Be a resident of the United States
  • Provide accurate and complete registration information
  • Have the legal capacity to enter into a binding agreement

We do not knowingly provide services to individuals under the age of 18. If we discover that a user is under 18, we will terminate their account and delete their data.

4. User Accounts & Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@getbrightup.com if you suspect unauthorized access.

Accurate Information

You agree to provide truthful, accurate, and complete information when registering and using BrightUp. Providing false information may result in immediate account termination.

Prohibited Conduct

You agree not to:

  • Use the platform for any unlawful purpose
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to any part of the platform
  • Interfere with or disrupt the platform's infrastructure
  • Share your account credentials with any third party
  • Use automated tools to scrape, crawl, or extract data from the platform

Not Financial Advice: Content provided by BrightUp is for educational and informational purposes only and does not constitute financial, legal, tax, or investment advice.

You acknowledge that:

  • Financial coaching sessions are educational in nature and do not replace advice from a licensed financial professional
  • Credit scores and reports accessed through our platform are provided by third parties and may differ from scores used by lenders
  • Mortgage estimates and program eligibility assessments are approximations only
  • We do not guarantee approval for any loan, program, or financial product
  • Past financial outcomes are not indicative of future results

6. Third-Party Services

BrightUp integrates with trusted third-party providers to deliver our services:

Plaid Secure bank account connectivity and transaction data
Spinwheel Credit report access and monitoring
Twilio SMS notifications and communications

Your use of these services is subject to their respective terms and privacy policies. BrightUp is not responsible for the actions, content, or policies of these third-party providers. We do not store your bank login credentials — they are managed exclusively by Plaid.

7. Intellectual Property

All content, features, and functionality on BrightUp — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Upward Wealth, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.

8. Privacy

Your use of BrightUp is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using BrightUp, you consent to the collection and use of your information as described in our Privacy Policy.

9. SMS Communications

By providing your mobile phone number and consenting to SMS communications, you agree to receive text messages from BrightUp related to coaching sessions, account activity, and platform notifications.

  • Message frequency: Varies based on your activity
  • Charges: Standard message & data rates may apply
  • Opt out: Reply "STOP" at any time to unsubscribe
  • Help: Reply "HELP" or contact support@getbrightup.com

10. Limitation of Liability

To the maximum extent permitted by applicable law, Upward Wealth, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Financial decisions made based on information provided by the platform
  • Interruptions in service or platform downtime
  • Actions of third-party service providers

Our total liability to you for any claims arising from your use of BrightUp shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

BrightUp is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion.

You may close your account at any time by contacting us at support@getbrightup.com. Upon termination, your right to use the platform ceases immediately. Data deletion will occur within 90 days of account closure, except where retention is required by law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a revised date
  • Sending an email notification for significant changes

Your continued use of BrightUp after any changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
